1. General Provisions
All services are provided by Nikalab LTD exclusively on the basis of these Terms and Conditions. These Terms and Conditions form an integral part of all our offers and contracts for products and services, including those in current or future agreements. The general Terms and Conditions of the Customer or a third party do not apply, even if Nikalab LTD do not specifically oppose the application of such Terms and Conditions in each individual case. Before submitting an order through our website you confirm that you are 18 years old or above; you are fully responsible for this site using, including all financial charges. If you do not agree to these Terms and Conditions, you should not use this site.
2. Conclusion of Agreement
Our offers are non-binding and without obligation. By submitting the ordering form provided on our website, you make a binding offer to us to conclude the contract. Your order has been placed once you have entered all the information that is required for the ordering process, and subsequently sent us the ordering form by clicking "Order". All services are provided on a prepaid basis. The Customer shall make the payment within 7 (seven) calendar days of receiving the invoice. If payment has not been received within 7 (seven) calendar days, the order will be cancelled automatically. Nikalab LTD is eligible to accept orders within 7 (seven) calendar days from receipt.
3. Provision of Services
The Customer orders the Service through the appropriate forms on the website http://www.seotooly.com. The Customer is responsible for the correctness and completeness of the information provided to Nikalab LTD; Nikalab LTD shall not be liable for any damage or incompatibility in case that the Customer provided incorrect information. If necessary, in order to successfully services fulfillment, Nikalab LTD has the right to change Customer data at its own convenience. After full provision of the service, Nikalab LTD sends the report by email or other means. The Customer is obliged to check the provided services and if there are any deficiencies, the Customer shall inform Nikalab LTD about these deficiencies within 7 (seven) calendar days. Further complaints, claims for damages, including lost profit and consequential damages or other financial loss, if they are not based on the intention or gross negligence or (minor) breaches of the essential commitment or guarantees, are excluded.
4. Warranty and liability
Customer acknowledges that Search Engine Optimization ("SEO") is governed by many factors which are outside the direct control of Nikalab LTD. Search Engines are third party systems with unknown variables, algorithms and indexing decisions that can change at any time and without notice over which we have no control. Nikalab LTD will use best efforts, techniques and accepted standards to improve Customer's Search Engine Ranking but cannot guarantee of #1 ranking of Customer's website on any major Search Engine using Customer's desired keywords. Customer further acknowledges and understands that a website’s rankings may go backwards. Customer agrees if this were to happen, no liability will be on Nikalab LTD and no refunds or discounts given. Nikalab LTD is not responsible for changes made to the website by other parties that adversely affect the search engine rankings of the Customer's website.
5. Severability and jurisdiction
This Agreement constitutes the whole agreement between the parties and supersedes all previous agreements between the parties relating to its subject matter. In the event of any part of this Agreement being held inapplicable or unreasonable, the remainder of the Agreement shall remain in full force and any clause held inapplicable or unreasonable shall be enforced to the fullest extent possible. The Agreement and any disputes or claims arising out of or in connection with its subject matter are governed by and construed in accordance with the law of England and Wales and the courts of England and Wales shall have exclusive jurisdiction.
